Terms and Conditions of Use Agreement

This Terms and Conditions of Use Agreement (the "Agreement") governs your access to and use of the "Teeple Hall, LLP CTA Portal" (the "CTA Portal"), a platform designed to allow you and your associated reporting companies to maintain and submit necessary information related to your Reporting Company's reporting requirements related to the Corporate Transparency Act ("CTA").

  1. Acceptance of Terms

    By accessing or using the CTA Portal, you and the Reporting Company (as defined in the CTA) you represent (collectively, the "User"), agree to be bound by the terms and conditions set forth in this Agreement. If you disagree with any part of the Agreement, you may not access or use the CTA Portal.

  2. Use of the CTA Portal

    The CTA Portal is provided as a location to store, maintain, and update Reporting Company information, beneficial ownership information ("BOI"), and any other information necessary to be reported to the Financial Crimes Enforcement Network ("FinCEN") due to reporting requirements described in the CTA.

    The CTA Portal allows Users to:

    • Store and update information about Reporting Companies, Beneficial Owner(s) (as defined in the CTA), and Company Applicant(s) (as defined in the CTA), as necessary.
    • Submit BOI Reports to FinCEN containing all required information.
    • Download submitted BOI Reports.

    Users are prohibited from:

    • Using the CTA Portal for any illegal or unauthorized purpose.
    • Interfering with or disrupting the CTA Portal's functionality.
    • Attempting to gain unauthorized access to the CTA Portal or its systems.
    • Transmitting any viruses, malware, or other harmful code through the CTA Portal.
    • Violating any applicable laws or regulations.

  3. Disclaimer of Warranties

    The CTA Portal is provided "as is" and without warranties of any kind, express or implied. Teeple Hall, LLP disclaims all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

    As the CTA is an evolving federal act, Teeple Hall, LLP does not warrant that the information on the CTA Portal is accurate, complete, or up to date. Teeple Hall, LLP is not responsible for any errors or omissions in the information provided on the CTA Portal.

  4. Limitation of Liability

    Teeple Hall, LLP will not be liable for any damages arising out of or related to your use of the CTA Portal, including, but not limited to, direct, indirect, incidental, consequential, or punitive damages.

  5. Intellectual Property

    The CTA Portal and all content on the CTA Portal, including but not limited to text, graphics, logos, and images, are the property of Teeple Hall, LLP or its licensors and are protected by copyright and other intellectual property laws.

    Users may not copy, modify, distribute, transmit, display, reproduce, publish, or create derivative works from any content on the CTA Portal without the prior written consent of Teeple Hall, LLP.

  6. Termination

    Teeple Hall, LLP may terminate your access to the CTA Portal at any time, for any reason, with or without notice, unless you have entered into a fee agreement with Teeple Hall, LLP that states otherwise. In such a case, the executed fee agreement between such parties shall control.

  7. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

  8. Entire Agreement

    This Agreement constitutes the entire agreement between you and Teeple Hall, LLP regarding your use of the CTA Portal.

  9. Severability

    If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

  10. Amendments

    Teeple Hall, LLP reserves the right to amend this Agreement at any time. The amended Agreement shall be effective upon posting on the CTA Portal. Your continued use of the CTA Portal after the posting of the amended Agreement constitutes your acceptance of the amended Agreement.
